Activist Account Terms

Overview

Welcome to the www.actworthy.org website (the “Site”). RZST, LLC (“Owner”) values its relationship with its customers, so these Activist Account Terms are provided to ensure clarity in the relationship and ease of making transactions. These Activist Account Terms apply if you are creating or hold an account on the Site that allows you to post activities and events to encourage others to take action (an “Activist Account.”) The following, along with the Terms of Use and Privacy Policy, are terms of a legal agreement between you and Owner (the “Terms”). In the event of a conflict between these Activist Account Terms and one of the other Terms, these Activist Account Terms will govern. By creating or holding an Activist Account on the Site, you acknowledge that you have read, understood, and agree to be bound by these Activist Account Terms and to comply with all applicable laws and regulations, including export and re-export control laws and regulations. If you do not agree to these terms, please do not use or make a purchase on the Site.

All transactions will be governed under the general commercial laws of the State of Iowa as supplemented or modified by this Agreement, without regard to conflict of law principles.

Upon receipt of payment, your Activist Account will be activated, subject to these Activist Account Terms. The Terms, including associated warranty statements or attachments, are the complete agreement between you and Owner regarding your transaction and replaces any prior oral or written communications between you and Owner, except that these Activist Account Terms may be superseded by a separate writing signed by both parties which explicitly supersedes these Activist Account Terms. Any additional or different terms in any order or written communications from you are void.

Eligibility

Anyone can start an Activist Account. Activist Account holders may include politically active individuals, political campaigns, nonprofits, or other organizations. However, you are responsible for compliance with all laws and must determine whether an Activist Account is appropriate for your needs and legal compliance obligations; and all Activist Account holders agree to follow Owner’s values of non-violence and non-discrimination. Owner reserves the right in its sole discretion to determine whether each potential Activist Account holder meets these criteria and to decline or terminate any Activist Account for failure to meet these criteria.

Prices

The Activist Account pricing displayed on the Site is in U.S. dollars and is valid and effective only within the United States. Pricing includes sales taxes, if applicable, which will be added to your total invoice price. If you are located outside the United States, please be sure that you are aware of the price in your local currency, and that your credit card company may charge a currency conversion fee, for which Owner is not responsible. You are responsible for taxes, if any, for each transaction. No other discounts or promotions apply unless expressly applied to a specific transaction. Your credit card will be charged monthly for your Activist Account fees. You will receive at least fifteen (15) days’ notice of any pricing changes and have the opportunity to terminate your account prior to implementation of new pricing.

Payments

Payments are not required during beta testing. Owner will use a third-party provider for payments after the beta stage is complete.

Activities, Events, and Donations

With an Activist Account, you can post activities and events such as protests, letter writing campaigns, phone call campaigns, actions your Activist Account has taken, and similar events (“Activities”) to encourage users to support your cause. All Posts (as defined in the Terms of Use regarding Activities must comply with the Terms of Use, including but not limited to the Posting Guidelines. In addition, you may not imply any sponsorship by or relationship with Owner or make use of the ActWorthy name except as authorized by the Terms of Use without express prior written consent, either in a Post or in any other forum. You are solely responsible for all content posted from your Activist Account, and for compliance with all applicable laws. All Activities and Posts by an Activist Account are public. If you want to have a user account for purposes of private action, please register a separate free individual user account.

A single Activist Account may be shared by multiple individuals for purposes of posting Activities; however, you are still responsible for the security of the account password and for all content posted from your Activist Account, so be cautious about sharing methods. Owner is not responsible for addressing disputes regarding ownership or control of an Activist Account.

Owner will also share information with Site users to allow them to make donations to your organization. Owner will not participate in the transaction between you and a Site user, and you are responsible for compliance with all applicable laws regarding solicitation and receipt of donations.

Owner takes steps to ensure as many users as possible are encouraged to participate in your Activities or make donations to your organization; however, Owner makes no warranty or guarantee that any users will take part in your Activities or make donations to your organization. Your payment for an Activist Account does not prioritize your Activities over the Activities posted by other Activist Account holders.

User Information

Users of the Site may choose to provide information, such as contact information, to you via your Activist Account. You may request information from users, but you are not able to compel them to disclose information to you. The Site provides aggregate information regarding users who are interested in or take action on your Activities and Posts, but does not provide any user Personal Information to you without express permission of that user.

Termination

You may terminate your Activist Account at any time by sending an email to cancel-account@actworthy.org. Your account will not be charged for the next billing cycle, and your Activist Account will be terminated.

Owner may terminate your Activist Account at any time in its sole discretion for violations of the Terms of Use, Privacy Policy, or Activist Account Terms, including but not limited to violation of Owner’s values of non-violence and non-discrimination, as determined by Owner in its sole discretion. If Owner terminates your Activist Account for such violations within thirty (30) days of Activist Account activation, Owner will refund all fees you have paid for your Activist Account. If Owner terminates your Activist Account for such violations at any time thereafter, Owner will not provide any refund of fees charged for your Activist Account.

Disputes

You agree that these Activist Account Terms and your use of the Site are governed by the laws of the State of Iowa, without regard to conflict of law principles. You hereby consent to the exclusive jurisdiction and venue of the courts, tribunals, agencies and other dispute resolution organizations in Johnson County, Iowa, or the Southern District of Iowa, as applicable, in all disputes arising out of, relating to, or concerning the Site and/or these Activist Account Terms. Use of the Site is unauthorized in any jurisdiction that does not give full effect to all provisions of this agreement, including without limitation this paragraph and the warranty disclaimers and liability exclusions contained in the Terms. Owner has endeavored to comply with all legal requirements known to it in creating and maintaining the Site, but makes no representation that materials on the Site are appropriate or available for use in any particular jurisdiction. Use of the Site is unauthorized in any jurisdiction where all or any portion of the Site may violate any legal requirements, and you agree not to access the Site in any such jurisdiction. Any use in contravention of this provision or any provision of this agreement is at your own risk and, if any part of this agreement is invalid or unenforceable under applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall govern such use.
